Job Description

Seeking a motivated, experienced Corporate Transactions Paralegal with 4+ years of experience to provide support to a team of corporate attorneys and legal department staff. The paralegal will assist in providing legal services on a wide variety of corporate matters. Responsibilities include but are not limited to: Manage the Company’s Administration of Contracts; work with attorneys in preparation, review, negotiation, drafting and approval of contracts and other agreements; maintain an organized contract intake process, ensuring all necessary information for contract review is obtained from business stakeholders; establish and maintain relationships with internal stakeholders and external parties by serving as a point of contact for contract requests; evaluate contract requests and provide support in the development, documentation and implementation of contracting strategies and procedures; manage the contract management and record keeping system; assist with maintaining and updating the company’s contract templates; maintain internal controls for appropriate approvals of contracts. Corporate Governance duties include maintaining and supporting corporate governance processes, including general record keeping, presentations, resolutions, minutes, and other materials, as well as assisting with the electronic board portal; maintaining and assisting with corporate governance and compliance matters for international and domestic subsidiaries; assisting in responding to requests for information and documents from internal and external auditors, regulators, partners, and other stakeholders, including licensing and “KYC” requests; maintaining corporate records. Performs other duties as assigned including supporting special projects in the legal department such as research, organization, and project management. Requirements include Associates and/or Bachelor's degree, 4+ years of experience as a paralegal or contract administrator in a law firm and/or corporate legal department, excellent organizational skills, strong analytical and problem-solving skills, solid decision-making and project management skills, detail orientation, strong communication skills, team player attitude, ability to work independently and as part of a team, ability to establish and maintain strong working relationships, discretion with confidential information, proficiency in Word and Outlook, familiarity with Excel and PowerPoint. Paralegal certificate and CA Notary Public preferred but not required.
